BioSome recent transactions in which Stephen has assisted clients include:Acquisition of a steel mill by Indian Steel conglomerate valued at over $80 million Acquisition of a regional civil contractor in a transaction valued at over $50 million Acquisition of a Canadian construction company in a transaction valued at over $100 million Merger of video surveillance and security company into public company Sale of a point of sales systems software company Acquisition of an insurance technology company Acquisition of control of U.S heavy civil regional contractor by large Italian contractor Negotiation of complex shareholders agreements and intellectual property license agreements in connection with joint ownership of an Indian construction company owned by a large international contractor and an Indian conglomerate Negotiation of various indemnity agreements with sureties in connection with surety bonds in excess of $500 million Establishment of U.S. subsidiaries and branch offices for foreign companies Negotiation of senior executive employment agreements on behalf of a company hiring senior executive officers Stephen has also represented a vast array of clients, including national and regional investment banks, publicly traded companies, venture capital investors, start up and middle stage technology companies, nationally recognized apparel manufacturers, hedge funds, corporate executives and entrepreneurs.Stephen has also represented numerous foreign companies looking to establish operations or acquire companies in the United States.Stephen is the co-chair of the Securities Law Division of the Business Law Section of the New Jersey State Bar Association. He has lectured and made numerous presentations on securities law and corporate topics to audiences of other professions, in house counsel, Fortune 500 companies, investment banks, clients and business owners.Stephen is admitted to practice in the State of New York and the State of New Jersey. He is a member of the American Bar Association and the New York State Bar Association.
