| Description | Born July 1, 1970, Mr. Crosby grew up in the Midwest and East Coast before settling in the Bay Area after law school in 1997. Since the start of his law practice, Mr. Crosby has focused on assisting clients with all aspects of commercial real estate and business transactions. Mr. Crosby leads the firm’s transactional practice group. Real Estate Law Mr. Crosby represents clients in a broad spectrum of complex commercial real estate transactions. He assists land owners when acquiring, developing, constructing, financing, or selling their real property. Represents both landlords and tenants with office, retail, industrial and ground leases. Experience includes drafting and negotiating agreements related to the purchase and sale of real property, leases, easements, licenses, CC&Rs, secured financing, cotenancies, architecture and engineering services, construction services, real estate brokerage and property management services. Also assist clients with lot line adjustments, lot mergers, lot splits and subdivisions. Land Use Law Mr. Crosby also assists clients with all aspects of zoning and land use regulations, such as design review, conditional use permits, zoning determinations, variances, historical preservation issues and compliance with creek and tree protection ordinances. With added insight due to his personal experience as a planning commissioner in the City of Union City, assistance extends beyond just legal analysis and includes participating on client’s development team, preparing entitlement applications, leading negotiations with government agency staff and ultimately appearing at administrative hearings to advocate for necessary entitlements. Land use work also includes compliance with environmental review under the California Environmental Quality Act (CEQA). Corporate and Business Law Mr. Crosby represents clients with myriad business issues including entity formation, on-going operational issues and ultimately the sale or dissolution of companies. Clients include profit and non-profit corporations, professional corporations, limited liability companies, and partnerships. Representation includes the negotiation and drafting of business agreements related to the sale of goods under the Uniform Commercial Code (UCC), distribution relationships, secured lending, consulting services, licenses, joint ventures, employment issues, bulk sales, bailments, mergers, shareholder agreements, voting agreements, sale of businesses and entity conversions. Mr. Crosby also prosecutes trademark applications for clients and assists with protection of trademarks and trade secrets.
